Scorpio Gold Shareholders Approve All Matters at AGM


SCORPIO GOLD ANNOUNCES RESULTS OF AGM

February 27, 2025 - Vancouver, British Columbia – Scorpio Gold Corporation (TSX-V: SGN, OTCQB: SRCRF, FSE: RY9) (“Scorpio” or the “Company”) has released the voting results from its annual general and special meeting of shareholders held on March 12, 2025. Shareholders holding 14,793,733 shares, or 11.31 per cent of the outstanding shares of the company, were represented in person or by proxy at the meeting.

The shareholders re-elected Zayn Kalyan, William Sheriff, Ian Dawson and Michael Townsend as directors of the company.

The shareholders also voted in favour of all other matters brought before the meeting, including the reappointment of Davidson & Company LLP as auditor of the company for the ensuing year and ratification of the company's current equity incentive plan.

Debt settlement

The company also announces that it intends to settle $193,425.70 in debt owing to a creditor of the company in consideration for the issuance of 2,149,174 common shares of the company at a deemed price of nine cents per share. The company intends to effect the debt settlement to preserve its cash for working capital.

The shares issued in connection with the debt settlement will be subject to a hold period of four months and a day. Closing of the debt settlement is subject to TSX Venture Exchange approval.
